Subscription terms

Who the subscription is for, and how prices are stated

The subscription is intended for companies, sole traders, associations and other organisations acting for the purposes of their trade, business or profession. The offer is not intended for consumers, meaning natural persons acting for purposes outside their trade, business or profession.

All prices in these terms and in the price list are in euros and exclude VAT. For customers in Slovenia, Slovenian VAT is added at the applicable rate. For business customers established in another EU member state who provide a valid VAT identification number, the reverse charge applies and no VAT is added; the customer accounts for VAT in their own country. We verify VAT numbers against the EU VIES system. These terms form part of our Terms of Business.

Term and cancellation

A subscription for renting a website and a subscription for renting an online store are both entered into under a five-year contract. For a website rental we charge no setup fee — we cover the build ourselves and recover it through the subscription, which is precisely why the contract runs five years. For an online store rental, a one-off setup fee of 790 € is payable on order. The subscription price is fixed for the term.

A minimum term applies only to rentals of a website or an online store. Buying, hosting, visibility (SEO), advertising, maintenance, priority support, care plans and audits carry no minimum term; monthly subscriptions without a term are cancellable on 30 days’ notice.

On early termination, the customer is charged the remaining contract value, meaning the sum of the monthly fees not yet fallen due up to the end of the term. After the five-year period the subscription continues month to month with 30 days’ notice and no further minimum term.

A customer who does not want a minimum term chooses to buy (a build they own): there is no contract and no subscription, you pay for the build and for hosting (10 € a month or 100 € a year), which you may cancel at any time. The option chosen is stated in the quote. Cancellations are made in writing to cont@limonet.com.

The annual price is ten times the monthly one — two months are free. This applies everywhere a choice between monthly and annual payment exists: rentals, hosting, maintenance, visibility (SEO), advertising, priority support, care plans and Limonet CRM subscriptions.

Maintenance

Maintenance is not included in any service — neither in a website or store rental, nor in a purchase. It is billed separately per the price list, from 49 € a month or 490 € a year, and carries no minimum term (30 days’ notice).

Maintenance covers system and plugin updates, security checks, backups and monitoring of uptime and speed. What the rental subscription, or hosting, does include is hosting on our server, the domain and DNS configuration, an SSL certificate, mailboxes, uptime monitoring and support. Content changes are not part of maintenance and are billed separately (see the next section).

What each plan includes

The scope of each plan (pages included, keywords, articles, response times) is set out in the price list and forms part of the contract.

Content changes and development work

Content changes are not included in the subscription. Editing text, images, prices and contact details, adding content, new pages and development work are billed separately at 65 €/hour or against a fixed quote. Work does not begin until the customer approves the quote.

Development work means new pages beyond the scope of the plan, design overhauls, new functionality, connections to other systems and larger content rebuilds. We price development work before carrying it out (65 €/hour or a fixed quote) and only carry it out after the customer’s written approval. Unapproved work is neither carried out nor invoiced.

Response time

On the standard plans we begin work on a reported outage within 72 hours at the latest, during Central European business hours. If we exceed that, the current month’s subscription fee is refunded. A shorter response time is a matter for priority support or a maintenance agreement and is set out in the quote.

Delivery deadline

A website is published within 7 working days, and an online store within 14 working days, of receiving all the content (copy, photographs, contact details, and for a store also the product data). For every week of delay on our side, 25 % of the monthly subscription fee is refunded. Where we are preparing the content, or where connections to other systems have been agreed, the deadline is agreed in advance and stated in the quote.

Priority support (optional)

Priority support is an optional monthly add-on to the subscription; its price is given in the price list or in the quote. It gives the customer priority handling of requests and 10 % off further projects and upgrades.

The discount does not apply to hosting, the monthly subscription (rental), or maintenance and care agreements. It applies to projects ordered while the add-on is active. The customer may add or cancel the add-on at any time with 30 days’ notice.

Buying a website or store outright

On the purchase of a website, the build price is paid in full on order; the first year of hosting is included in the build price. On the purchase of an online store, the build price is paid 50 % on order and 50 % on completion of the project; for a store the first year of hosting is not included. Once paid, the website or store is yours and the purchase carries no minimum term.

Hosting is required for it to run (10 € a month or 100 € a year, for stores depending on size) and may be cancelled at any time. Maintenance is not included on a purchase either — it is optional and recommended, from 49 € a month, and is billed from launch onwards.

Price changes

The rental price is fixed for the five-year term and does not change during that period. We may change the price of services with no minimum term (hosting after a purchase, for example) and the subscription price after the contract term with 60 days’ notice; if you do not agree with the change, you may cancel the service before it takes effect.

Non-payment

If payment is late we send reminders (on days 1, 3 and 7). After 14 days of non-payment we suspend the service temporarily, and notify you in writing.

Ownership and export on cancellation

The content, the data and the domain belong to the customer. Text, photographs and data belong to the customer even where we produced them. The domain is registered to the customer.

On cancellation the customer receives, within five working days and at no charge, an export of the content and a working website or online store, which they may move to another supplier or to their own server.

The Limonet CMS content editor (the PRESTIGE plan) is our software. The customer uses it for as long as the subscription runs; it is not included in the export on cancellation. The website runs and publishes without it. A customer who wants to own the entire codebase should buy the website instead.

Online stores run on open-source platforms (WooCommerce or PrestaShop), so for those the export includes the entire store codebase.

Consumers

The subscription is not intended for consumers. If a contract with a consumer nevertheless comes about, all mandatory consumer rights under the applicable law apply regardless of these terms — including, for distance contracts, the 14-day right of withdrawal under EU consumer law; the withdrawal form is available on request. In that case the price is stated to the consumer inclusive of VAT. This is set out in more detail in our Terms of Business.

Language

These terms are a translation provided for convenience. In the event of any discrepancy, the Slovenian version published at limonet.si prevails.
